1 Purpose of This Policy
+

This B2B Wholesale & Custom Manufacturing Policy (“Policy”) applies to all wholesale, corporate gifting, distributor, private-label, bulk purchasing and custom manufacturing transactions between Tanned & Told (“Tanned & Told”, “we”, “us”, or “our”) and its business customers (“Customer”, “Buyer”, “you” or “your”).

This Policy supplements Tanned & Told’s Terms & Conditions and forms part of the commercial terms applicable to B2B orders.

Where there is a conflict between this Policy and a specific written quotation or signed supply agreement, the specific written agreement shall prevail.

2 B2B Customer Categories
+

  • Corporate gifting companies
  • Promotional merchandise companies

Tanned & Told reserves the right to approve or decline B2B accounts at its discretion.

3 MOQ & Wholesale Pricing
+

3.1 Minimum Order Quantity

Minimum Order Quantity (“MOQ”) shall be specified in the quotation for each product or project. MOQ may vary according to:

  • Product type
  • Leather/material
  • Colour
  • Branding method
  • Packaging
  • Customisation
  • Hardware
  • Product dimensions
  • Production requirements
  • Private-label requirements

An order below the stated MOQ may be accepted subject to a higher unit price or special production charge.

3.2 Wholesale Pricing

Wholesale pricing is based on the quantity, specifications and commercial requirements stated in the quotation. A price quoted for one quantity level shall not automatically apply to another quantity level. For example, pricing quoted for 500 units shall not automatically apply to an order of 100 units. Tanned & Told reserves the right to revise pricing where the Customer changes: quantity; product specifications; material; branding; packaging; delivery destination; payment terms; or production requirements.

3.3 Price Validity

Unless otherwise stated, wholesale quotations are valid for the period specified in the quotation. After expiry, Tanned & Told may revise pricing based on prevailing: raw-material costs; labour costs; freight; currency exchange rates; taxes; duties; and other production costs.

4 Payment Structure
+

Unless otherwise agreed in writing, Tanned & Told operates on an advance-payment model for B2B and custom orders.

Standard payment structure:

50% advance payment → Production → 50% balance → Dispatch

For certain custom, high-value or specially manufactured orders, Tanned & Told may require:

70% advance payment → Production → 30% balance → Dispatch

The applicable payment structure will be stated in the quotation or invoice.

4.1 Production Start

Production shall not commence until: the order is confirmed; required specifications are received; artwork is approved where applicable; and the required advance payment has been received in cleared funds.

4.2 Balance Payment

The balance must be paid before dispatch unless written credit terms have been expressly approved. Tanned & Told reserves the right to withhold dispatch until full payment has been received.

5 Balance-Before-Dispatch Policy
+

Unless otherwise agreed in writing, goods will not be released for dispatch until the full outstanding amount has been received.

A Customer may not deduct, withhold, set off or delay payment because of: pending internal approval; resale delays; Customer’s own customer payment delays; minor non-material issues; unrelated invoices; or claims that have not been accepted by Tanned & Told.

Any approved claim shall be handled separately and shall not automatically permit withholding payment for undisputed amounts.

6 Custom & Bespoke Manufacturing
+

Tanned & Told provides custom manufacturing for corporate and commercial buyers. Customisation may include:

  • Product development
  • Custom leather
  • Custom colour
  • Custom dimensions
  • Custom construction
  • Custom hardware
  • Logo embossing
  • Debossing
  • Foil branding
  • Engraving
  • Custom packaging
  • Private labels
  • Custom inserts
  • Bespoke designs

Custom production shall be based on the Customer’s approved specifications.

7 Sample & Prototype Approval
+

Where a sample or prototype is required, Tanned & Told may charge: sample fee; development fee; tooling fee; branding setup fee; courier charges; material costs.

The Customer shall carefully inspect all samples and prototypes. Written approval of a sample shall constitute confirmation that the Customer accepts the relevant: design; dimensions; colour; leather; construction; branding; finishing; and overall appearance.

Once production begins based on an approved sample, subsequent changes may result in additional charges and production delays.

8 Artwork & Logo Approval
+

The Customer is responsible for providing correct and legally authorised: logos; trademarks; artwork; names; initials; text; colour references; and brand guidelines.

Tanned & Told may provide a digital or physical branding proof for approval. Production shall proceed on the basis of the approved artwork.

Tanned & Told shall not be responsible for errors that were contained in the artwork or proof approved by the Customer.

Any changes after approval may require: new artwork; new tooling; additional branding costs; replacement materials; and/or additional production time.

9 Leather Variation Tolerance
+

Genuine leather is a natural material and no two hides are identical.

Natural variations may include: grain; texture; colour; shade; wrinkles; pores; scars; natural markings; thickness; patina.

These characteristics are not considered defects.

Colour may also vary slightly between: photographs; digital screens; samples; leather batches; and production batches.

The Customer accepts reasonable variations inherent to genuine leather.

10 Bulk Production Quantity Tolerance
+

For bulk production, a reasonable manufacturing tolerance may apply to the final quantity.

Unless otherwise stated in writing, Tanned & Told may deliver a reasonable overage or shortage where necessary due to manufacturing, material or production considerations.

The final invoice shall be adjusted where applicable based on the agreed commercial arrangement.

11 Custom-Order Cancellation
+

Custom and bulk orders require the allocation of: raw materials; production capacity; labour; tooling; packaging; manufacturing resources; and logistics arrangements.

Accordingly, once production preparation has commenced, cancellation may not be accepted.

If Tanned & Told agrees to cancellation, the Customer shall be responsible for all costs already incurred or committed, including: materials; labour; tooling; samples; artwork; packaging; freight; third-party charges; and other project-specific expenses.

The remaining balance of any advance payment, after deduction of legitimate costs, shall be handled according to the applicable commercial agreement.

12 No Cancellation After Production Starts
+

Once production has commenced, the Customer may not cancel the order as a matter of right.

This applies particularly to: customized products; branded products; personalised products; private-label products; bespoke products; products manufactured specifically for the Customer; and products for which dedicated materials or tooling have been procured.

Any cancellation after production begins shall require written approval from Tanned & Told.

13 Tooling Ownership
+

Tooling may include: embossing plates; debossing plates; dies; moulds; cutting tools; printing plates; custom fixtures; special production equipment.

Unless expressly agreed otherwise in writing, payment by the Customer for tooling does not automatically transfer ownership of Tanned & Told’s manufacturing know-how, processes, templates or production methods.

Where the Customer specifically purchases exclusive tooling ownership, such ownership must be expressly documented in writing.

14 Private Label Manufacturing
+

Tanned & Told may manufacture products under a Customer’s: brand name; logo; label; packaging; product identity.

Private-label manufacturing terms may include separate requirements for: MOQ; product exclusivity; packaging; labelling; compliance; tooling; confidentiality; minimum annual purchases; and pricing.

A private-label arrangement does not automatically grant the Customer exclusive rights to the underlying manufacturing method or generic product construction.

15 Customer Exclusivity
+

Exclusivity is not automatic.

A Customer requesting exclusive rights to a product, design, territory or market must enter into a separate written exclusivity agreement.

Any exclusivity agreement should specify: exclusive product; territory; duration; sales channel; minimum order commitment; minimum annual purchase; exclusivity fee, if applicable; conditions for continuation; termination rights.

Failure to meet agreed minimum purchase commitments may result in termination of exclusivity.

16 Confidential & Proprietary Manufacturing
+

Where a Customer requires confidential manufacturing, the parties may enter into a separate NDA or confidentiality agreement.

Customer information such as: proprietary designs; unreleased products; brand concepts; confidential specifications; pricing arrangements; and business plans shall be treated as confidential subject to the agreed confidentiality obligations.

Generic manufacturing knowledge, techniques and processes developed independently by Tanned & Told remain the property of Tanned & Told.

17 Quality Control
+

Tanned & Told may conduct quality checks throughout production.

Quality control may include: material inspection; stitching; edges; hardware; dimensions; branding; construction; packaging; quantity; final finishing.

For large orders, customers may request a pre-dispatch inspection subject to prior written agreement.

Any inspection requirement must be agreed before dispatch.

18 Inspection & Acceptance Period
+

The Customer must inspect goods promptly upon receipt.

Claims concerning: shortage; visible damage; incorrect product; incorrect branding; obvious manufacturing defects; or material discrepancies must be submitted in writing within 48 hours of delivery, together with supporting photographs or videos.

Latent manufacturing defects that could not reasonably have been detected during normal inspection shall be handled under the applicable warranty provisions.

19 Defect & Claim Procedure
+

All claims must include: purchase order or invoice number; product name; quantity affected; description of the issue; photographs; video where useful; delivery details; and any relevant supporting documentation.

Tanned & Told shall review the claim and determine whether the issue constitutes: manufacturing defect; natural leather variation; transport damage; Customer-caused damage; approved specification; incorrect use; or another excluded condition.

Tanned & Told may request return of affected goods for inspection.

20 Remedies for Confirmed Defects
+

Where Tanned & Told confirms a manufacturing defect attributable to Tanned & Told, the remedy may, at our discretion, include: repair; replacement; reproduction of affected units; credit; or refund for affected units.

The remedy shall be proportionate to the confirmed defect.

Tanned & Told shall not be responsible for the replacement of an entire shipment where only a limited quantity is affected.

21 Returns of B2B Goods
+

B2B goods are not returnable merely because the Customer has changed its mind, its customer has cancelled an order, or the Customer is unable to resell the goods.

Custom, personalised, branded, private-label and bespoke products are non-returnable except for confirmed manufacturing defects or material non-conformity.

Any return requires prior written authorisation from Tanned & Told.

22 Shipping & Incoterms
+

Shipping arrangements shall be specified in the applicable quotation.

Where applicable, Tanned & Told may offer terms such as: EXW; FCA; FOB; CIF; DAP; DDP; or another mutually agreed delivery arrangement.

The applicable Incoterm shall determine the allocation of: freight; insurance; export clearance; import clearance; customs; duties; taxes; and delivery responsibility.

The applicable Incoterm must be expressly stated in the quotation or sales agreement.

23 UAE & GCC Delivery
+

For UAE and GCC shipments, delivery timelines depend on: order quantity; production requirements; payment; destination; customs requirements; transport availability; and Customer approvals.

Tanned & Told shall not be responsible for delays caused by government authorities, customs, transport providers or other third parties beyond its reasonable control.

24 Customs, Duties & Taxes
+

Unless expressly included in the quotation, the Customer is responsible for applicable: customs duties; import taxes; VAT; clearance charges; destination charges; permits; and government fees.

The Customer is responsible for providing accurate information necessary for import and delivery.

Any delay resulting from inaccurate or incomplete information supplied by the Customer shall not be considered a Tanned & Told delivery failure.

25 Late Payment & Credit Terms
+

Credit terms are granted only to customers expressly approved by Tanned & Told. Credit approval may be reviewed or withdrawn at any time based on payment history or commercial circumstances.

Where an invoice becomes overdue, Tanned & Told may: suspend production; suspend dispatch; cancel credit terms; require advance payment; place orders on hold; and recover reasonable costs associated with the overdue account.

Outstanding amounts remain payable regardless of whether the Customer has received payment from its own customer.

26 Set-Off & Withholding Payment
+

The Customer shall not set off or withhold amounts owed to Tanned & Told against: disputed claims; third-party claims; customer complaints; resale issues; unrelated invoices; or alleged future losses, unless expressly agreed in writing or required by applicable law.

Undisputed amounts must continue to be paid when due.

27 Customer Responsibility for Resale
+

Where the Customer purchases goods for resale, the Customer is responsible for: its resale price; marketing claims; product representations; regulatory compliance; consumer disclosures; storage; transportation after delivery; and after-sales obligations to its customers.

Tanned & Told shall not be responsible for representations made independently by the Customer to its customers.

28 Product Care
+

The Customer is responsible for communicating appropriate product-care instructions to end users where products are resold or distributed.

Leather products should be protected from: excessive moisture; prolonged direct sunlight; chemicals; oils; abrasive surfaces; excessive heat; and improper storage.

Normal ageing and patina of leather shall not be treated as a manufacturing defect.

29 Photography & Marketing
+

Tanned & Told may retain production photographs for internal quality-control purposes.

Where there is no confidentiality or exclusivity restriction, Tanned & Told may also use photographs of completed products in its: portfolio; website; social media; sales presentations; and marketing materials.

Customers requiring complete confidentiality must communicate this requirement before production or agree to a separate confidentiality arrangement.

30 Ownership of Tanned & Told Know-How
+

All proprietary manufacturing knowledge, techniques, processes, templates, patterns, construction methods and production expertise developed or owned by Tanned & Told shall remain the property of Tanned & Told unless expressly transferred through a written agreement.

The Customer shall not reverse engineer or reproduce Tanned & Told’s proprietary manufacturing process.

31 Force Majeure
+

Tanned & Told shall not be responsible for delays or non-performance resulting from circumstances beyond reasonable control, including: natural disasters; fire; flood; war; civil unrest; government restrictions; strikes; transport disruption; port closure; customs restrictions; raw-material shortages; supplier failure; power failures; cyber incidents; epidemics or pandemics; extreme weather; or other force majeure circumstances.

32 Commercial Risk
+

The Customer acknowledges that B2B orders involve commercial risks, including: resale demand; customer cancellations; inventory requirements; market changes; currency fluctuations; import requirements; and changing business conditions.

Tanned & Told shall not be responsible for the Customer’s inability to resell or commercially use products after delivery where the products conform to the agreed specifications.

33 Limitation of Liability
+

To the maximum extent permitted by applicable law, Tanned & Told shall not be liable for indirect or consequential losses, including: loss of profit; loss of revenue; loss of business; loss of contracts; loss of goodwill; loss of anticipated savings; or reputational loss.

To the maximum extent permitted by law, Tanned & Told’s aggregate liability relating to an order shall not exceed the amount actually paid to Tanned & Told for the specific products giving rise to the claim.

Nothing in this Policy shall exclude liability that cannot legally be excluded.

34 Governing Law
+

For UAE transactions, these terms shall be governed by applicable laws of the United Arab Emirates.

Disputes shall be subject to the jurisdiction of the competent courts of the UAE unless another dispute-resolution mechanism has been expressly agreed in writing.

For international or GCC transactions, the parties may agree to specific governing law, jurisdiction or arbitration arrangements in the applicable supply agreement.

35 Relationship with Terms & Conditions
+

This Policy supplements the Tanned & Told Terms & Conditions published on tannedandtold.com.

The Customer should read both documents before placing a B2B order.

Together, they establish the commercial framework governing: wholesale purchases; corporate gifting; bulk orders; custom manufacturing; private-label production; samples; artwork; payment; delivery; quality; claims; returns; and commercial responsibilities.
